End User License Agreement (EULA)

This End User License Agreement (“EULA”) is effective between WEconnect Health Management (“WEconnect”) and the Member (“Member”) when posted.

By using the service, you agree to the content of these Terms and Conditions and the Privacy Policy. You acknowledge that you have read, understood, and agree to be bound by all applicable terms, policies, guidelines on the website, and any EULA associated with a downloaded mobile app. If you do not agree, you must stop using the Services immediately.

Definitions

  • “Authorized Third Party” refers to a third party responsible for the administration and/or payment for a Member.
  • “Member” is the person who receives services through the mobile application.

Permitted Use

WEconnect grants each Member a non-exclusive, non-transferable license to use the Services for their direct personal benefit.

Restricted Use

WEconnect is for personal, non-commercial use only. The following actions are prohibited:

  • Sending unsolicited or unauthorized advertising, spam, or solicitation
  • Making unsolicited contact for commercial purposes
  • Using the Services for commercial purposes or third-party benefit
  • Posting advertisements, irrelevant or repetitive content

You may not use the Services to:

  • Probe or breach WEconnect system security
  • Circumvent any technological protections
  • Use unauthorized bots, crawlers, or scraping tools
  • Impersonate WEconnect personnel or affiliates
  • Embed hidden WEconnect branding in metadata
  • Reverse engineer or disassemble any WEconnect mobile application
  • Disrupt or attack networks, clients, or hosts (e.g., by spamming or spreading viruses)

Members are responsible for complying with all applicable laws and regulations and must not use WEconnect Services in violation of local, state, or national law.

Location Data Disclaimer

WEconnect’s location features are not designed for navigation, emergency services, vehicle operation, or use in hazardous environments. WEconnect is not liable for any outcomes related to misuse or failure of location services.

Limitations of Use

You may not:

  • Transfer, resell, sublicense, or monetize any Service
  • Reverse engineer, decompile, or create derivative works from WEconnect
  • Use WEconnect content outside of the intended Member experience

Account Protection

Each Member is responsible for:

  • Keeping account information accurate
  • Protecting login credentials
  • Promptly notifying WEconnect of unauthorized access

Termination and Ongoing Effectiveness

If an Authorized Third Party is sponsoring the Member’s access and determines the Member is no longer eligible, services may be suspended or terminated.

If the Member pays for a monthly membership, Services will remain available while the subscription is active. If the subscription ends or lapses, access will revert to the free version.

Warranties and Disclaimers

WEconnect is not responsible for the behavior or policies of Authorized Third Parties. Motivational incentives may be provided through third parties and require Member action to redeem. WEconnect does not endorse any third-party practices or policies.

WEconnect is not liable for disputes between Members and third parties. Members release WEconnect from any related claims or damages.

Participation in third-party programs may be required if sponsorship applies. For public plan Members, services are subject to public funding rules, including incentive caps and schedules.

Limitation of Liability

Neither party will be liable for:

  • Indirect, incidental, or consequential damages
  • Data loss, business interruption, or loss of profits/goodwill

The maximum liability is limited to:

  • Perpetual license claims: fees received for that license
  • All other claims: fees received within the 12 months prior to the issue

This applies regardless of legal theory (e.g., contract, tort, infringement) and even if damages were foreseeable. Some exclusions may not apply where prohibited by law.

Jurisdiction and Governing Law

This agreement is governed by the laws of the State of Washington. Legal actions must be brought in federal or state courts in King County, Washington.
